Nomination Committee

Terms of Reference

Approved by the Board 6 December 2005

1. The nomination committee comprises the Chairman, the Deputy Chairman and one other non executive member. Having regard to the balance of skills, competencies and experience required to govern  the Authority effectively, the  Committee is:
1.1 when a vacancy is to arise, to evaluate the balance of skills, knowledge and experience which will remain on the board and, in the light of this evaluation, prepare a description of the role and capabilities required for a particular appointment;
1.2 to identify and nominate for the approval of the board, candidates to fill board vacancies for which the Authority is the appointing body, as and when they arise;
1.3 to review annually the time required from non-executive members.  Performance evaluation should be used to assess whether non-executive members are spending enough time to fulfil their duties;
1.4 to give full consideration to succession planning in the course of its work, taking into account the challenges and opportunities facing the Authority and what skills and expertise are therefore needed on the board in the future;
1.5 to keep under review the needs of the Authority, both executive and non-executive, so that the provision of leadership, motivation and strategic direction is continued;
1.6 to ensure that on appointment to the board, non-executive Members appointed by the Authority receive a formal letter of appointment setting out clearly what is expected of them in terms of time commitment, committee service and involvement outside board meetings.
2 The committee is to make recommendations to the board:
2.1 regarding plans for succession of both executive and non-executive members
2.2 regarding the re-appointment of any non-executive member at the conclusion of their specified term of office;
2.3 concerning any matters relating to the continuation in office of any member at any time;
2.4 concerning the appointment of any member for whom the Authority is the appointing body.
3 In assessing potential members, the committee should consider candidates from a wide range of backgrounds.
